ARTICLE I - NAME

The name of this Committee shall be the Somerset County Republican Committee.

ARTICLE II - MEMBERSHIP

Membership is open to all registered Republicans in Somerset County.    Voting delegations from each town in Somerset County shall consist of the total
of delegates and alternates from that town to the last State Convention.   The Somerset County State Committee persons shall be additional voting
delegates at the County Committee, as well as any Republican elected to state or county office.
Vacancies on the County Committee due to resignation, death, change of enrollment, removal as stated below, or municipal failure to nominate shall be
filled by the Town Committee within thirty (30) days of notice of the vacancy by the secretary of the County Committee.
All members are urged and expected to publicly support all candidates of the Republican Party.   Should a voting delegate publicly support any
non-Republican (and non-family member) candidate running for a partisan office, voting rights on this Committee may be terminated by a two-thirds vote
of the County Committee present. Said vote shall take place at a regular meeting of the County Committee, provided that all voting delegates shall receive
written notice of the proposed action (including the name of person(s)) at least ten (10) days prior to said meeting.  No proxy voting shall be allowed on
this issue.

ARTICLE III - OFFICERS AND ELECTIONS

The officers of the County Committee shall be a chairman, vice-chairman, secretary, treasurer, and finance chairman.  Each shall have the powers and are
subject to the duties customarily applying to the respective office.   The finance chairman is responsible for raising funds for the operation of this
Committee and the Republican Party.
These officers shall be elected biennially by the members of the County Committee at the first meeting of said Committee following the election of County
Committee members at the State Convention.   The first meeting of the County Committee, as aforesaid, shall be as called at the prior County Committee
meeting.   If no meeting has been scheduled then the state committee persons shall call said meeting.  Notice of the place and time of said first meeting shall
be given by the state committee persons, by written notice to all members, at least ten (10) days prior to said meeting; the expense of notification to be
borne by the County Committee.

ARTICLE IV - EXECUTIVE COMMITTEE

The Executive Committee shall consist of each officer and state committee person.   The Executive Committee shall be responsible for the operation of the
County Committee between meetings, as necessary; and for the disbursement of Committee funds for political purposes.   Meetings of the Executive
Committee shall be called by the chairman or by any two members of the Committee.   Four members of the Executive Committee shall constitute a
quorum.

ARTICLE V - DUTIES OF THE COUNTY COMMITTEE

The County Committee shall be responsible for the welfare of the Republican party in the County of Somerset and shall take whatever steps are
necessary to strengthen the party and especially to encourage all persons to register and enroll in the Republican party and to vote in all county-wide
elections; to support all Republican candidates; to issue such publicity and arrange such rallies and other meetings as may seem wise to the Committee; to
give proper information to the public; to cooperate with the state and community committees; and to do such other acts as may be necessary in
furtherance of the foregoing purposes.

ARTICLE VI - PROXIES

Each voting delegate of the County Committee shall be entitled to one vote on all questions at any regular or special meeting if present in person or if
represented by a proxy duly appointed in writing by such member, such proxy to be a member of the same community as the person who appointed him.  
 No proxies shall be allowed on a vote regarding termination of voting rights.

ARTICLE VII - CALLING OF MEETING

A meeting of the County Committee may be held at any time upon vote of the Committee, call of the chairman, or in his or her absence or inability to act,
by the vice-chairman. Upon written petition of at least ten (10) members of said Committee filed with any member of the Executive Committee, such
member of this Executive Committee may instruct the secretary to call such a meeting, and if the secretary fails to do so, such officer of the Executive
Committee shall be empowered to call such a meeting.
Notices of any meeting of the County Committee shall be given in writing and mailed at least ten (10) days before such meeting is to be held.  Said notice
shall contain the time and place and agenda of such meeting.  The agenda shall include reports from the secretary, treasurer, and state committee persons.

ARTICLE VIII - OUORUM

Fifteen (15) voting members of the County Committee shall constitute a quorum.

ARTICLE IX - AMENDMENTS

These by-laws may be amended at a regular County Committee meeting by a two-thirds vote of the members present at such meeting.  Notice in writing of
the proposed amendment shall be mailed to each member at least ten (10) days prior to the presentation of the proposed amendments.  Voting shall occur
at the next scheduled regular meeting directly following the presentation of the proposed amendments.
